End User License Agreement

This End User License Agreement (“EULA” or “Agreement”) is a legal contract between you (“Licensee” or “You”) and TOMO FONTS (“Licensor”), the owner and distributor of the typeface software described herein (“Fonts” or “Font Software”). By purchasing, downloading, installing, or using any Font Software from tomofonts.com, you accept and agree to all terms of this Agreement.
The Fonts are licensed, not sold. This Agreement grants You specific rights to use the Font Software according to the license type purchased. All other rights are reserved by the Licensor.
1. Definitions
- Application (App) — Any standalone software distributed to end users on any platform in which the Font Software is embedded or bundled to render text.
- Authorized Users — Employees and contractors of the Licensee who use the Font Software exclusively for Licensee’s internal or client-facing work under this Agreement.
- Desktop Use — Installation of the Font Software on a computer or workstation for use in design, print, and production workflows by Authorized Users.
- Platform — Any software infrastructure, SaaS product, design tool, website builder, or similar service made available to third-party end users, in which the Font Software is made available for those end users to apply to their own content.
- Webfont — A version of the Font Software served via CSS @font-face and used to render text on one or more internet domains.
- Broadcast — Use of the Font Software in motion video, film, streaming content, television, or advertising distributed via any broadcast or online video channel.
- Derivative Work — Any typographic work based on or derived from the Font Software.
- Order Invoice — The purchase confirmation specifying the Font(s), license type, and any applicable limits.
2. License Types and Scope
Each license is limited, worldwide, perpetual (unless otherwise stated), non-exclusive, non-sublicensable, and non-transferable except as specified below.
2.1 Desktop License — Grants the right to install and use the Font Software on a specified number of workstations, as stated in the Order Invoice, for print and production work by Authorized Users. A Desktop License is required as a prerequisite for all other license types. Not permitted: distribution of Font files to third parties; use in web, app, broadcast, or platform contexts.
2.2 Web License — Grants the right to serve the Font Software via CSS @font-face on one domain (or a specified set of domains), for a maximum number of monthly pageviews as stated in the Order Invoice. Web Licenses are annual and must be renewed each year. Not permitted: self-hosting of Font files on public repositories; use in apps, platforms, or broadcasts.
2.3 App License — Grants the right to embed the Font Software in one compiled software application for distribution to end users. Each distinct application requires a separate App License.
2.4 Platform License — Grants the right to make the Font Software available within a software platform where third-party end users may apply the Font to their own content. Platform Licenses are negotiated directly with the Licensor. Contact: abc@tomofonts.com
2.5 Broadcast License — Grants the right to use the Font Software in motion graphics, film, television, streaming video, or video advertising content. Contact: abc@tomofonts.com
2.6 Custom License — Any use not covered by sections 2.1–2.5 requires a Custom License negotiated directly with the Licensor. Contact: abc@tomofonts.com
3. Permitted Uses
Subject to the terms of the applicable license type purchased, You may:
- Install and use the Font Software on the number of workstations or devices specified;
- Embed the Font Software in documents (PDF, presentations) for distribution, provided the Font is not extractable;
- Send a copy to a commercial printer solely for outputting Your work, provided they agree not to retain the Font files;
- Make a reasonable number of backup copies for archival purposes.
4. Restrictions
You may not, without prior written permission from the Licensor:
- Distribute, sell, sublicense, or transfer the Font Software to any third party;
- Embed or serve the Font Software in any context not covered by Your purchased license;
- Reverse engineer, decompile, or disassemble the Font Software;
- Modify, adapt, or create Derivative Works for distribution;
- Remove or obscure any copyright notices embedded in the Font Software;
- Use the Font Software in any platform or application without the applicable license;
- Upload Font files to any publicly accessible file repository.
5. Ownership
The Licensor retains full ownership, title, and all intellectual property rights in and to the Font Software. This Agreement grants You a limited license only; no title or ownership is transferred.
6. Fees and Payment
License fees are established by the Licensor and posted at tomofonts.com. All fees are exclusive of applicable taxes. Payment is due at the time of purchase.
7. Compliance and Audit
The Licensor may, no more than twice per calendar year, request documentation or conduct an audit of Licensee’s use of the Font Software to verify compliance.
8. Disclaimer of Warranties
The Font Software is provided “as is.” The Licensor warrants that the Font Software will generate the associated typeface when installed correctly. Except as expressly stated, the Licensor disclaims all warranties, express or implied.
9. Limitation of Liability
The Licensor’s total liability shall not exceed the fees paid in the twelve (12) months preceding the event giving rise to the claim. The Licensor shall not be liable for any indirect, consequential, incidental, or special damages.
10. Termination
This Agreement terminates automatically if Licensee materially breaches any term and fails to cure within fourteen (14) days of written notice. Upon termination, Licensee must cease all use and destroy all copies. Fees paid are non-refundable upon termination for breach.
11. Governing Law
This Agreement is governed by the laws of the State of Wyoming, United States. Any disputes shall be submitted to the exclusive jurisdiction of the courts located in Wyoming.
12. Miscellaneous
This EULA, together with any applicable Order Invoice, constitutes the entire agreement between the parties. If any provision is found unenforceable, the remaining provisions continue in full force. This Agreement may only be modified by a written document signed by both parties.
